Members Club Regulations
Sinta Bar Group
Members Club belonging to the Sinta Bar Group, which includes the Sinta Bar restaurant, Sasson Bar in Ahuza, and Mambo Milano only (hereinafter: the “Members Club”), was established and is managed by Sinta Bar Ltd. (hereinafter: “Sinta Bar”).

This Regulations is intended to regulate the eligibility conditions of an individual who wishes to join the Members Club and the benefits program intended for customers of the Sinta Bar Group who wish to be members of the Members Club, all subject to the provisions of this Regulations (hereinafter: the “Regulations”).

Joining the Members Club is subject to the terms of the Regulations below, as may be updated from time to time by Sinta Bar.

The full responsibility for being familiar with the following terms and receiving the benefits according to these terms rests at all times with the members of the Members Club, such that this Regulations constitutes a condition for joining the program, and any customer who joins as a member of the Members Club and receives a Membership Card is deemed to have read and agreed to the provisions of this Regulations, all its sections and/or parts thereof.

The holder of a Membership Card, or any other person, shall have no demand and/or claim in connection with the terms of the Regulations and the benefits program or changes thereto. The management of the Sinta Bar Group reserves the right to change or terminate the activity of the Members Club at any time at its sole discretion.

The management of the Sinta Bar Group reserves the right to change and/or cancel this Regulations or parts thereof.

The wording of the Regulations will be published and updated on the official websites of the company’s restaurants included in the Members Club at the addresses:

(hereinafter: the “Company Websites”), and it may also be obtained by written request to the Company’s management.

Any place in this Regulations where masculine language is used, the intention is to both women and men equally.
Membership in the Members Club

A member of the Members Club is one who is lawfully entitled, in accordance with this Regulations, to hold a valid card of the Members Club (hereinafter: the “Membership Card”).

Eligible to be counted among the Members Club members are individuals (not businesses, organizations, agents, or corporations) who are over the age of 18, who use their membership for private use, who have filled in their details in full in the Members Club application form and have paid the Membership Fee (as defined below) to the Members Club. The management of the Sinta Bar Group may refuse a person’s request to join the Members Club at its discretion, without any obligation to give reasons for its refusal.

Upon sending the digital application form to join the Members Club, the Members Club member authorizes the Sinta Bar Group and/or ValuCard to contact him, itself and/or through third parties with whom it cooperates, by any means of communication, including, but not limited to, email and text messages (SMS). It is possible to join the Members Club during a visit to any of the group’s restaurants, by joining online through digital registration forms and/or by contacting the group’s management. Once a member’s details have been registered in the company’s database, the company may send him at any time information regarding its services, including messages concerning the activity of the Members Club, changes in the Regulations and/or in the benefits and/or any matter relating to the member’s eligibility and/or the activity of the Members Club and/or its termination, etc., as well as marketing and advertising information – whether such information is published by the company itself or information the company receives from third parties for the purpose of sending to club members. If a member does not wish to continue receiving such commercial information, he may at any time revoke his consent and stop receiving commercial information by contacting the Sinta Bar Group. By approving this Regulations or by receiving the Membership Card, the club member agrees that information and various offers will be sent to him by direct mail.

Payment of the Membership Fee in the Members Club may be made by credit card or in cash only, at the member’s choice.

The membership and the rights under it are valid for the cardholder only, who filled in his details in the registration form.

Every member of the Members Club shall be responsible for updating the Sinta Bar Group in writing in any case of a change of email address (E-MAIL), telephone number, or any other relevant detail through which the group can contact him and update him regarding changes, benefits, and various promotions.

Each Membership Card, whether digital or physical, will be assigned a serial number corresponding to that card only.

The Membership Card is personal and non-transferable in any manner, including by way of sale or transfer without consideration to any third party.

The management of the Sinta Bar Group may require the club member to identify himself by means of an identity document as a condition for using the Membership Card both for the accumulation of points and for the redemption of points, and may also revoke the use of the card and/or confiscate it if it believes that the card is being used contrary to the provisions of this Regulations, without any explanation on its part.
For the avoidance of doubt, the management of the group may refuse to redeem points and/or benefits without presentation of an identity document. -
A Membership Card shall be valid for an unlimited period from the date the membership in the Members Club is approved and the Membership Fee in respect of it has been paid.

In addition and without derogating from its rights as detailed above and subject to the above, the management of the Sinta Bar Group will from time to time initiate collaborations with commercial entities in various fields, and within the framework of such collaborations or other agreements, such third parties will contact the Members Club member directly. A member who objects to such direct contact by that third party may inform the management of the Sinta Bar Group in writing by registered mail and/or fax, and upon receipt of his notice, such third parties will no longer contact him.

The management of the Members Club may block the Membership Card in any case in which, in its opinion, misuse of the Membership Card is being made, without prior notice.
Cost of joining the Members Club

Joining the Members Club involves payment of a Membership Fee (above and below: the “Membership Fee”), as shall be set from time to time.
The Membership Fee is 59 NIS per card for an unlimited period.

It is clarified that the management of the Sinta Bar Group may change the Membership Fee at its sole discretion.
Cancellation of membership in the Members Club

Any member shall be entitled to withdraw from the Members Club and his registration as a member will be canceled and deleted within thirty (30) days from the date of his notice sent by registered letter and/or fax regarding his desire as aforesaid. In such a case, his notice shall be deemed a complete waiver of all his rights in the Members Club, including, but not limited to, his right to receive benefits accumulated on the card, as detailed in this Regulations below.
For the avoidance of doubt, it is clarified that in such a case the Members Club member shall not be entitled to a refund of the Membership Fee (full or proportional) collected and/or to any compensation and/or indemnification in connection with his membership in the Members Club. -
Without derogating from the provisions of section 22 above, if a Members Club member cancels his membership within 14 days from the date of joining the Members Club, by written notice, he shall be entitled to a refund of the Membership Fee, provided that he has not used the Membership Card and none of the benefits, in whole or in part, were used by him as detailed in this Regulations. The refund of the Membership Fee shall be made within 30 days from the date of receipt of the written notice. From the moment of the cancellation notice by the Members Club member, even if the Membership Fee has not yet been refunded to him, his membership shall be canceled and he may not use any of the benefits granted to him by virtue of his membership in the Members Club.
The Benefits

Use of the Members Club Membership Card shall not grant the Members Club member any benefits other than those detailed in this Regulations, unless the Sinta Bar Group has stated otherwise.

The holder of a Members Club Membership Card shall enjoy the following benefits:

Joining gift in each of the three restaurants included in the Members Club in the amount of 20 NIS, which will be loaded onto the card for redemption in any of them, for a period of 30 days from the date of payment of the Membership Fee and receipt of the Membership Card.
After 30 days, the benefit will automatically expire.
Redemption of the benefit is possible from the date of payment of the Membership Fee, including against the bill on the joining date. -
Accumulation of club points at a value of ten percent (10%) of the net price of the purchase, except for the joining item on the joining day. Accumulation will be possible from the first purchase. For example: a net bill of 120 NIS will grant the club member 12 club points that will be accumulated on his card. The value of each point for redemption is 1 NIS, and it can be redeemed only on the next purchase. Redemption of accumulated points will be in accordance with the conditions in this Regulations below.

Birthday Benefit – a club member shall be entitled to 30 NIS for redemption in each of the three restaurants included in the Members Club during the calendar month in which his birthday falls, as updated in the registration form. The benefit may be redeemed only once in each branch, is non-divisible, and is conditional on a purchase of 100 NIS or more at the time of use. The benefit cannot be redeemed at the time of joining the Members Club, but only from the next purchase and cannot be redeemed on the business lunch menu.

Anniversary Benefit – a club member shall be entitled to 30 NIS for redemption in each of the three restaurants included in the Members Club during the calendar month in which his anniversary falls, as updated in the registration form. The benefit may be redeemed only once, is non-divisible, and is conditional on a purchase of 100 NIS or more at the time of use. The benefit cannot be redeemed at the time of joining the Members Club, but only from the next purchase and cannot be redeemed on the business lunch menu.
Conditions for redemption of the benefits and limitations

The conditions for redemption of the benefits shall be subject to the following conditions and limitations:

A club member is entitled to receive benefits granted to a club member for hosting in the restaurant only, provided that he is present there. The club member pays for the hosting in full. There is no double benefits or discounts.

Accumulation of points or redemption of points will not be possible in special events, when a set menu has been closed in advance at a special price, student menus, soldier menus, and event menus or simultaneously with payment methods that are not credit card or cash (vouchers, corporate catering cards such as Cibus or Ten Bis, etc.).

In publications for Members Club members only, the discount and/or promotion will be in accordance with the publication only.

Promotions, accumulation of points, and special prices shall be as determined by the management of the Sinta Bar Group from time to time. The number of points that may be accumulated for each purchase shall be according to the exclusive decision of the Sinta Bar Group, and it may change the amount at any time and without prior notice for each purchase that is not a sale with any discount or under another promotion.

A Members Club member may redeem the points accumulated to his credit at a ratio of 1 NIS per point, but not more than 50% of the bill in that transaction.

Benefits accumulated on the card cannot be redeemed for “business lunch” meals and when using special menus or simultaneously with payment methods that are not credit card or cash (see section 2). Accumulation of points shall be in accordance with the price of the business meal.

Use of points may be carried out only on the purchase following the accumulation of the points and it is not possible to redeem points accumulated in the same purchase.

It will not be possible to receive a monetary credit for the accumulated points, and the points shall be used only for granting discounts in the purchase of hosting in the restaurants associated with the Members Club.

If a Members Club member has redeemed more points than were accumulated for him due to a malfunction or disruption in the computer, the Sinta Bar Group may offset from the customer’s points balance a monetary refund at a value of 1 NIS per point in points, and the Members Club member shall have no claim and/or demand and/or lawsuit regarding this. If there is a negative points balance, the Sinta Bar Group may receive a monetary refund according to a ratio of 1 NIS per point.

Accumulation of points is personal to each Members Club member and cannot be transferred to another Membership Card or combined between several members.

The benefits will be granted to the member only upon presentation of the Membership Card or upon presentation of an identity document in the case of digital membership cards, at the time of purchase. The member must inform of his membership at the time of purchase and present the card and/or identity document as aforesaid at the time of purchase.

If, in the opinion of a Members Club member, he is entitled to receive benefits for a particular purchase which were not accumulated/credited to his account, he must contact the Members Club in writing, by registered mail, attaching a true copy of the receipt or any other documents that he may be required to provide. Failure to attach the receipt and documents as aforesaid shall constitute grounds for non-granting of the said benefit.

Members Club benefits cannot be redeemed during promotions; no double promotions. Points cannot be accumulated and/or Members Club benefits redeemed on deliveries, take-away. It will not be possible to accumulate points or redeem points when using vouchers/coupons/digital vouchers or Cibus/Ten Bis/Hever Ta’amim/Police Funds cards.
It will not be possible to redeem benefits accumulated on the card for business meals, soldier/student meals, and late-night promotions as may be applied in the network from time to time.
Changing or discontinuing the benefits in the Members Club

The Sinta Bar Group reserves the right to change or stop the benefits provided and/or any part of the benefits provided at any time, in accordance with publications it will make at its sole discretion. The Sinta Bar Group shall bear no responsibility if it decides to act so. Likewise, the company shall bear no responsibility towards Members Club members or any third party if it stops the benefits provided in the Members Club, for a limited time, for any reason. Notice regarding discontinuation of the service, permanently or for a limited time, shall be given to Members Club members by any means of publication, as stated in section 5 of this Regulations, at the sole discretion of the Sinta Bar Group.

The management of the Sinta Bar Group may at any time decide to terminate the activity of the Members Club with prior notice of at least thirty (30) days, which shall be published in one of the means of publication specified in section 30 of this Regulations. If the activity of the Members Club is terminated as aforesaid, the network will continue to honor benefits accumulated on the Membership Cards until the expiry of the card (without the right to accumulate additional benefits).

The validity of the points accumulated in the account of a Members Club member is until the date of termination of his membership in the Members Club.
Means of publication of the Members Club

Notifications of the Members Club on any matter related to the activity of the Members Club, including, but not limited to, changes and/or additions and/or deductions made and/or intended to be made by the Sinta Bar Group in the Regulations and/or in the discounts and/or in the Membership Fee and/or any matter related to the member’s eligibility and/or the activity of the Members Club and/or its termination, etc., shall be made by the Members Club via email and/or the Sinta Bar Group’s website and/or in any other manner of publication as the Sinta Bar Group sees fit at its sole discretion. The Members Club member shall have no claim and/or demand and/or lawsuit and/or complaint regarding the manner in which such notices are transmitted.

It is hereby clarified that the Members Club is a club operated also via the internet, and it is the intention of the Members Club to send information to members at the email address provided by them upon registration on the registration form. Members shall have no claim and/or demand and/or lawsuit and/or complaint regarding the way the notices are transmitted, whether by internet or by another way, as stated in section 30 above.
Information security and privacy protection

The Sinta Bar Group will take all reasonable measures to secure the information provided by Members Club members, all in accordance with applicable law. However, the Sinta Bar Group cannot fully secure the information and communication systems against unauthorized intrusions and illegal use by third parties. Therefore, the Sinta Bar Group shall bear no direct or indirect responsibility in cases of disclosure and use of information provided by Members Club members, directly or indirectly resulting from unauthorized intrusions by others or as a result of malicious acts and/or omissions by a third party, and the club member shall have no claim, demand, and/or lawsuit regarding the exposure of the data provided by him upon joining the club in such a case.

The Sinta Bar Group may use the details of Members Club members and the means of communication they provided upon joining and/or at a later time, in order to inform Members Club members about various products and services that may be of interest to them. It is hereby clarified that in no case will the company transfer the details of Members Club members or any other information that personally identifies them to a third party without their prior consent.
Governing law and jurisdiction

The validity, interpretation, and/or breach of this Regulations shall be governed solely by the laws of the State of Israel. The exclusive and unique jurisdiction in any matter, subject, or dispute related to the validity, interpretation, and/or breach of this Regulations shall be vested solely in the competent courts in the city of Haifa.

In any case where a Members Club member sues the Sinta Bar Group and/or anyone on its behalf, including its owners and/or managers, the Members Club member shall automatically be deemed to have requested to withdraw from his membership in the Members Club and his membership will be canceled.
Miscellaneous

With the establishment of this Members Club, no previous engagements and/or commitments prior to the establishment of this Members Club, if any, made between the contracting Members Club member and the management of the Sinta Bar Group by any of its representatives, shall have any validity.

Any delay by the Sinta Bar Group in exercising any right to which it is entitled as detailed above, or its refraining from insisting on such right, shall not be considered a waiver of its rights.

The Sinta Bar Group may assign its rights under this Regulations to any third party as it deems appropriate and without any obligation to publish such assignment.

Members of the Members Club are not entitled to assign their rights under this Regulations.

The service is a personal service and is not transferable to any third party.
-
If it is determined by a competent authority that any of the above provisions is void or voidable for any reason whatsoever, the remaining provisions shall remain in full force and effect.
